Step 1: Package Information

What is an LLC?

The Limited Liability Company combines many of the advantages of a corporation such as limited personal liability and the tax advantages of a partnership. An LLC offers limited personal liability protection to all of its owners (termed "members" or "managers"). It may be treated like a partnership or S Corporation for tax purposes, allowing income or losses to be reported on the member's individual tax returns, thereby avoiding double taxation. Business entities or individuals can be the owners of an LLC.

What is a Professional Corp?

A Professional Corporation is an entity reserved for businesses that require professional licensure, such as doctors, dentists, attorneys, architects or engineers. Most states require proof of a professional license, a statement of purpose, and additional fees beyond that of a General Corporation. PCs also generally take longer to form.

What is a Professional LLC?

A Professional Limited Liability Company is an entity reserved for businesses that require professional licensure, such as doctors, dentists, attorneys, architects or engineers. Most states require proof of a professional license, a statement of purpose, and additional fees. A Professional LLC may also take longer to form.

What is a Non-Profit Corp?

A nonprofit corporation is formed for a charitable, religious, scientific or educational purpose and normally elects a tax-exempt status through the state and/or federal government. What is an S-Corp?

The Subchapter S corporation (sometimes referred to as an S-Corporation) is a tax filing status with the IRS that is elected after the initial formation of the corporation with the state has been completed. It avoids the "double taxation" by allowing the owners of the corporation to treat income or losses as though they were "partners". This income of loss passes through the corporation and is reported on the owners' personal returns, thus avoiding double taxation of regular corporations - once as dividends, for example, and again as personal income. Please keep in mind that all shareholders must be citizens or permanent residents of the United States.

What is a C-Corp?

A general corporation, also known as a "C" corporation, is the most common corporate structure. A general corporation may have an unlimited number of stockholders, so it is usually chosen by companies that plan to have more than 30 stockholders or large public stock offerings. Since a corporation is a separate legal entity, a stockholder's personal liability is usually limited to the amount of investment in the corporation and no more. "C" corporations are also taxed separately, necessitating two returns each year - one for you as an individual, and one for the company itself.

Registered Agent

As your registered agent, The Company Corporation will receive legal documents on behalf of your business in the state where you have incorporated or formed an LLC. These legal documents may include things like a notice of a lawsuit against your business (called "service of process") as well as routine mail from the state government (like annual reports and tax documents). When we receive a legal document for your business, we will forward the document to you or your designated contact. A company that does not have a registered agent faces a greater risk that the owner(s) of the company will not receive important legal documents on a timely basis. This could lead to a default judgment against the company for failure to answer the complaint. Federal EIN

An Employer Identification Number (EIN) is a nine-digit number that is assigned by the IRS and used to identify taxpayers that are required to file various business tax returns. What is Mail Forwarding?

Mail forwarding service provides your company with a private mailbox number at our address to receive regular letter mail -- The Company Corporation offers a "basic" domestic letter-mail forwarding service for $150.00 annually or an "international" letter-mail forwarding service for $225.00 per year. This service is available in either Delaware or Nevada, and details and application forms are available at http://www.myaffiliateprogram.com/u/compcorp/b.asp?id=6548. Some customers purchase this service because they do not have a U.S. address and would like to receive mail in the United States, whereas others purchase mail forwarding service because they own a home-based business and prefer to list a private mailbox as their business address. In any case, subscribing to our mail forwarding service will provide your company with a permanent business address for regular mail correspondence.

Step 2: Contact Information

What does "legal address for the company" mean?

The legal address for your new company should be the permanent, physical address (no P.O. Boxes) to which The Company Corporation can forward any important legal documents that we may receive as your Registered Agent. Ideally, someone should be available at this address to sign for Federal Express deliveries. If your permanent legal address changes in the future, you should immediately notify The Company Corporation by mail, fax or e-mail (we cannot accept address changes by phone) of your new contact information.

How do I update my formation documents or company records if the address of the business changes?

If your contact information changes in the future, one or more steps may be required. At minimum, you must notify The Company Corporation in writing of any changes to your permanent legal address, and you should also update the information in your internal company records as well as with any department or agency with which your company is registered. If you need to update a business address listed on your company's formation document filed with the state, please feel free to contact The Company Corporation for assistance in filing a formal amendment. Address updates can also be made on your company's annual report in some states.

Step 3: Company Information

Number of Shares

What's typical? Why do I need to specify a number? Is this really important? What might it affect?

Stock represents ownership in a corporation, so state governments require a corporation to indicate its maximum number of authorized shares shares at the time of the company's formation. If this changes in the future, a formal amendment must be filed. The number of shares your business will have is a matter of company preference; however, our customers generally select a stock configuration that will not require additional filing fees. A default selection of 1500 shares at no par value is recommended in most states. We will advise you of any additional fees that are necessary in order to proceed with the filing.

Par Value

What it is, and why we're asking

Par value is the minimum selling value for one share of stock, and this information must be filed with the state at the time of the corporation's formation. Most of our customers indicate no par value for their authorized shares for the greatest flexibility.

Members, managers, directors

How to select

The initial directors of a corporation, or the initial members or managers of an LLC, may be required by the state at the time of the company's filing. Our customers generally designate the individuals who are causing the new company to be formed and who will be immediately involved in its management in this capacity. Directors of a corporation are responsible for managing the business. For an LLC, members are the direct owners of the company, whereas managers are hired from outside the company to manage its affairs. If the direct owners of a company make all decisions as to how the company is governed, then the members will be managing the company. If the owners hire outside sources to make the decisions for them, then the managers will be managing the company.

Why wouldn't I want to include the names and addresses of my members/managers on formation documents?

Some people prefer not to list the names and addresses of members, managers or directors on the company's formation document because this information becomes public record. However, some states require this information to be listed, and our customers have reported that they sometimes encounter issues opening a bank account or raising capital for the new company if their names were not listed on the document.

Are there rules or suggestions to follow when selecting a company name?

Entity name regulations vary by state. Generally, your corporate name must not match or be too similar to the name of an existing company registered in your desired state. The name must usually end with a valid corporate indicator for your formation state. Most states will accept Incorporated, Corporation, Company, Limited or an abbreviation of one of these terms. The Company Corporation can assist you in determining the acceptable corporate indicators in your state.

Is there anything to consider when I select the legal address for my company?

The legal address for your new company should be a physical address, not a P.O. Box, where someone would be available to sign for important legal documents that The Company Corporation may receive as your Registered Agent. If this address changes in the future, please send a written request to The Company Corporation immediately to update our records.

How much of my company information is "set in stone" or truly important after I fill out this application?

The information you list on the application is very important, as most, if not all, of it will be listed on the formation document filed with the state. If this information changes, it will need to be updated on an annual report or amendment filing. Formation orders cannot be changed once they have been submitted to the state.

Step 4: Payment Information

How does your company protect my privacy?

All credit card information, personal information and company information is treated as confidential and proprietary and is not shared outside The Company Corporation, with the exception of contact information. From time to time, The Company Corporation may rent or sell contact lists of recently incorporated companies. No personal or company information other than contact information is shared with any outside party.

How does your company secure my payment information?

When you submit an order, your information is encrypted with secure server software to protect the information from unauthorized access. To protect your personal and credit card information, all information that you provide on our incorporation or LLC order form is collected and stored on a secure server and is accessible only by designated staff.

How does wire transfer work?

If you need to make a payment by wire transfer, The Company Corporation will provide you with the instructions and the information to reference on your transfer. International wire transfers can take in excess of one week to be received, and your order will be held until our bank notifies us of the receipt of your funds. Orders purchased by credit card can be processed immediately.

What if my payment method is declined?

If your payment method is declined, your order will remain on hold until the funds are received. We make every effort to contact you quickly in this event; however, if you are aware that the payment was declined and need to proceed with your order, please contact our office as soon as possible to provide alternate payment arrangements.

Step 5: Confirmation

I received my confirmation; what happens next?

Once The Company Corporation receives your order, we conduct a preliminary name search and submit the first available name to the state for formal approval. Final availability is determined by the state at the time of filing. You can monitor the status of your filing online at https://www.corporate.com/doOrderStatusStart.do, "Order Status," which will be updated as soon as we receive confirmation of the filing from the state. You will also be notified by phone and/or e-mail, depending upon the contact information you entered in your order, of any issues that arise in the filing.

When will my kit be shipped?

If you select our international package, your corporate kit will be shipped via Federal Express with your official evidence of filing once the documents have been returned by the state and the personalized kit created. With all other packages, corporate kits are shipped in a separate Federal Express box and are usually received approximately one week after the evidence of filing.

Will the extra options I added to my package arrive separately?

Corporate kits and publications are shipped separately and are normally received within approximately one week of your evidence of filing. If The Company Corporation assists you in obtaining a federal tax ID number, the number will be e-mailed to you once it is received from the IRS.

When should I expect my formation documents to arrive?

If you form a Delaware corporation with The Company Corporation, your new corporation will usually be filed within only a few hours of receipt of your order. Due to our nationwide network of offices, your corporate documents in most other states will be filed with the appropriate state agency within just two to three days. However, it can take several days or weeks for the state to return the evidence of filing. As soon as the official documents are released by the state, we forward them to you via Federal Express.
